Subject to amendment from time to time in Seller’s sole discretion, Seller grants to its distributors a non-exclusive, non-transferable, and non-sublicensable license, during the term of their agreements with Seller, solely on or in connection with the promotion, advertising, and resale of the Seller’s products in accordance with the terms and conditions of their agreements with Seller to use all Seller’s trademarks, whether registered or unregistered, including the listed registrations and applications and any registrations, which may be granted pursuant to such applications.

Distributors shall not use Seller’s trademarks in connection with the sale or advertising of any products other than Seller’s products.  On expiration or earlier termination of their agreements with Seller, or upon Seller’s request, any licenses granted herein shall immediately terminate and distributors shall promptly discontinue the display or use of any trademark.

Upon expiration or earlier termination of distributors’ agreements with Seller, all of distributors’ rights, including the right to display or use any trademark, and any licenses granted herein shall terminate and cease immediately. Other than the express licenses granted herein, Seller grants no right or license to distributor, by implication, estoppels, or otherwise, to the Seller’s products or any intellectual property rights of Seller or its affiliates.
